CONTENT LICENSE
The following Content License Terms and Conditions (these “Terms”) apply to each and every person (each a “Guest”) who provides Licensed Content (defined below) to Reign FC LLC, dba Seattle Reign FC (“Reign FC”) in connection with the 2026 Season (defined below).
Definitions.
“2026 Season” means all Reign FC home matches played in the NWSL 2026 season during which Sponsor is the sponsor of the Trupanion Pet Cam.
“Club” means Reign FC and its affiliates.
“Guest Data” means data collected from Guest that may include but is not limited to Guest’s name and email address, and any and all other information provided voluntarily by Guest in connection with the Licensed Content.
“Licensed Content” means any photos, videos, or other multimedia content provided by Guest to Reign FC.
“NWSL” means National Women’s Soccer League, LLC, and its affiliates.
“Reign FC Content” means any content produced by Reign FC including but not limited to videos, photos, multimedia, social media posts, and marketing and promotional materials.
“Sponsor” means Trupanion, Inc.
2. General Terms.
Guest agrees that by submitting any Licensed Content to Reign FC, Guest is deemed to have read these Terms and agrees to be bound by them with the same force and effect as if Guest signed these Terms. Failure to comply with any of these Terms shall result in forfeiture by Guest of all rights arising hereunder and shall entitle Reign FC to pursue all additional legal remedies available to it.
In addition to these Terms, information collected from Guest, including Guest Data and Licensed Content, is subject to Reign FC’s Privacy Policy (available at https://www.reignfc.com/privacy-policy) and NWSL’s Privacy Policy (available at https://www.nwslsoccer.com/privacy-policy).
3. Licensed Content.
3.1 Grant of License. Guest hereby grants to the Club and its successors, licensees, and assigns in perpetuity, the nonexclusive and irrevocable right and license to use, reproduce, distribute, display, publicly perform, exhibit, and otherwise exploit the Licensed Content, in whole or in part, in any social media network posts, advertising and promotion in or relating to the Reign FC Content and the 2026 Season, in any location including the internet, in-stadium, or elsewhere, as Reign FC determines in its sole discretion without additional compensation payable to Guest (the “License”). Guest acknowledges and agrees that the rights and License granted to Reign FC under these Terms include the right to modify, edit, translate, include in collective works, or create derivative works of the Licensed Content in whole or in part. Guest waives any and all claims in any jurisdiction to so-called “moral rights” or rights of droit moral with respect to use by the Club and its successors, licensees, and assigns of the Licensed Content. Reign FC does not have any obligation to include any Licensed Content in the Reign FC Content or to produce, distribute, or otherwise exploit the Licensed Content in relation to Reign FC Content or the 2026 Season. As between Reign FC and Guest, Reign FC owns all copyrights and other rights in the Reign FC Content and all advertising and promotion related to the Reign FC Content, provided that such ownership does not include ownership of any copyright in the Licensed Content.
3.2 Ownership; Representations and Warranties. Guest owns and retains all right, title, and interest in and to the Licensed Content, subject to the License granted in these Terms. Guest represents and warrants that (i) it is the sole owner of the Licensed Content or is the authorized agent of the owner, and it has the full right, power, and authority to grant the rights and licenses granted hereunder; (ii) the Licensed Content and Reign FC’s use of the Licensed Content as permitted by these Terms do not and will not violate or infringe any law or regulation, and do not and will not violate or infringe any copyright, trademark, or other intellectual property, or any privacy, publicity, contract, or other third-party right, or constitute libel or slander of any person, company, or other entity; (iii) there is no threatened or pending litigation, proceeding, or other charge or claim related to the Licensed Content; and (iv) the Licensed Content is free from any claims or encumbrances, and no consents from, or payments to, any third party are required for or by Guest’s grant of rights to Reign FC hereunder or for or by Reign FC’s exercise of such rights.
3.3 Permissions. Guest has obtained from all persons and entities who provided services for or participated in, or are, or whose name, image, likeness, trademark, copyright, or other property is, identified, depicted, or otherwise referred to in the Licensed Content, such written and signed licenses, permissions, waivers, releases, and consents, including those relating to publicity, privacy, and any intellectual property rights, as are, or reasonably may be expected to be, necessary for Reign FC to exercise its rights in connection with the Licensed Content as permitted by these Terms without incurring any payment or other obligation to, or otherwise violating any right of, any such person or entity.
3.4 Credit. Subject to Reign FC’s standard credit policies and the credit policies and approval of any licensee of the Reign FC Content, Reign FC may provide Guest with a credit, including any applicable copyright or trademark notice, in the Reign FC Content, upon Guest’s reasonable written request. No casual or inadvertent failure of Reign FC or any third party to accord such credit constitutes a breach of these Terms.
4. Guest Data Release.
4.1 Collection and Use of Guest Data. In exchange for submission of any Licensed Content in connection of the 2026 Season, Guest agrees to provide Reign FC with certain Guest Data. Reign FC reserves the right to collect, store, and use the Guest Data in connection with the Licensed Content. By submitting Licensed Content, Guest consents to: (i) Reign FC sharing Guest Data with Sponsor; and (ii) receiving commercial and promotional communications from Reign FC, Sponsor, and NWSL, including but not limited to, information about upcoming events and the sale of goods and services, from Reign FC, and Sponsor, marketing, promotions, and sponsors, unless Guest expressly opts out in accordance with the then current opt-out procedures as provided in each communication. To the extent Reign FC or Sponsor ask for non-personal information from you that is qualitative or which cannot be used to identify an individual person, Reign FC and Sponsor reserve the right to aggregate that information and use it in connection with the 2026 Season.
5. Release; Waiver of Liability; Covenant Not to Sue.
GUEST HAS READ AND UNDERSTANDS THESE TERMS AND THE LICENSE GRANTED HEREUNDER. THESE TERMS PROVIDE REIGN FC WITH GUEST’S ABSOLUTE AND UNCONDITIONAL CONSENT, WAIVER, AND RELEASE OF LIABILITY, ALLOWING REIGN FC TO PUBLICIZE AND COMMERCIALLY EXPLOIT GUEST’S NAME, LIKENESS, AND OTHER PERSONAL CHARACTERISTICS AS SET OUT HEREIN.
GUEST HEREBY KNOWINGLY, VOLUNTARILY, IRREVOCABLY, AND FOREVER RELEASES, WAIVES, AND DISCHARGES (AND COVENANTS NOT TO SUE), EACH AND ALL OF THE RELEASED PARTIES (AS DEFINED BELOW) FROM (OR WITH RESPECT TO) ANY AND ALL CLAIMS, SUITS, CAUSES OF ACTION, AND CLAIMS FOR DAMAGES, WHETHER PAST, PRESENT, OR FUTURE, AND WHETHER KNOWN OR UNKNOWN, INCLUDING, BUT NOT LIMITED TO, CLAIMS ARISING OUT OF OR IN CONNECTION WITH DEATH, PERSONAL INJURY, ILLNESS, DISABILITY, SUFFERING OF SHORT-TERM OR LONG-TERM HEALTH EFFECTS, OR LOSS OF OR DAMAGE TO PROPERTY, WHICH GUEST MAY HAVE OR HEREAFTER ACCRUE AGAINST ANY OF THE RELEASED PARTIES AS A RESULT OF OR THAT RELATE IN ANY WAY TO THE SUBJECT MATTER OF THESE TERMS.
AS USED HEREIN, THE “RELEASED PARTIES” ARE: (I) NATIONAL WOMEN’S SOCCER LEAGUE, LLC AND ITS AFFILIATES, THE MEMBERS OF NWSL AND EACH OF THE NWSL TEAMS OPERATED BY THEM, AND EACH OF THEIR RESPECTIVE DIRECT AND INDIRECT AFFILIATES, MEMBERS, ADMINISTRATORS, DESIGNEES, LICENSEES, AGENTS, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, SPONSORS, INVITEES, AND CONTRACTORS (AND ALL EMPLOYEES OF SUCH CONTRACTORS), AND OTHER PERSONNEL; (II) REIGN FC LLC AND ITS AFFILIATES; (III) ANY PARENTS, SUBSIDIARIES, AFFILIATED AND RELATED COMPANIES, AND OFFICERS, DIRECTORS, OWNERS, MEMBERS, MANAGERS, PARTNERS, EMPLOYERS, EMPLOYEES, AGENTS, CONTRACTORS, SUB-CONTRACTORS, INSURERS, REPRESENTATIVES, SUCCESSORS, AND/OR ASSIGNS OF EACH OF THE FOREGOING ENTITIES AND PERSONS, WHETHER PAST, PRESENT, OR FUTURE, AND WHETHER IN THEIR INSTITUTIONAL OR PERSONAL CAPACITIES.
6. Indemnification.
Guest agrees to indemnify and hold the Released Parties harmless from any liability, claims, demands, costs, expenses, and attorneys’ fees incurred by any of the Released Parties as a result of (a) Guest’s assertion of any claims arising from, relating to, or in connection with activities that Guest has acknowledged and assumed risk and/or which is covered by these Terms; (b) any third-party claim relating to any actual or alleged material breach by Guest of its representations, warranties, covenants, or other obligations hereunder; and (c) all claims and amounts related to legal and other actions brought against any of the Released Parties, to the extent such claims are attributable to Guest’s negligence or willful misconduct.
7. Limitation of Liability.
IN NO EVENT SHALL CLUB OR NWSL BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL, INDIRECT OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOSSES OF BUSINESS, REVENUE, OR ANTICIPATED PROFITS, REGARDLESS OF WHETHER SUCH DAMAGE WAS FORESEEABLE AND WHETHER SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ANY DISPUTE OR CLAIM RELATED TO, OR ARISING FROM, THESE TERMS SHALL BE RESOLVED BY MANDATORY, CONFIDENTIAL, FINAL, AND BINDING ARBITRATION. GUEST AND REIGN FC EACH AGREE THAT ALL DISPUTES SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS AND EACH WAIVES ANY RIGHT TO LITIGATE IN COURT OR ARBIRTRATE ANY CLAIM AS A CLASS ACTION, REPRESENTATIVE ACTION, OR CLASS ARBITRATION. IF GUEST DOES NOT CONSENT TO THIS CLAUSE, GUEST MUST NOT SUBMIT GUEST CONTENT. THIS CLAUSE IS GOVERNED BY THE FEDERAL ARBITRATION ACT.
8. Miscellaneous.
8.1 Governing Law. Guest acknowledges and agrees that these Terms and all aspects of the relationship between Reign FC and Guest hereunder shall be governed by the laws of the State of Washington, without regard to conflict of laws, and jurisdiction shall be situated in King County, Washington.
8.2 Severability. Guest and Reign FC agree that if any provision or part thereof contained in these Terms is declared illegal, unenforceable, or ineffective, such provision or part thereof shall be modified, if possible, in order to achieve the intentions of the parties, and, if necessary, such provision or part thereof shall be deemed severable, such that all other provisions contained in these Terms shall remain valid and binding.
8.3 Relationship of Parties. Nothing contained in this Agreement will be construed as creating any agency, partnership, joint venture, or other form of joint enterprise, employment, or fiduciary relationship between the parties, and no party shall have authority to contract for or bind the other party in any manner whatsoever.
